Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and NativeMind LTD ("Company," "we," "our," or "us"), a company registered in Kigali, Rwanda, governing your access to and use of QwikoTripsPro, including any associated websites, applications, and services (collectively, the "Platform").
By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1. Description of Service
QwikoTripsPro is a software-as-a-service (SaaS) platform designed to help tour operators and Destination Management Companies (DMCs) manage their operations, including but not limited to:
- Trip planning and itinerary management
- Booking and reservation systems
- Supplier and resource management
- Financial tracking and reporting
- Team collaboration tools
- Client relationship management
2. Account Registration
To access certain features of the Platform, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
3. Subscription and Payment
Subscription Plans: Access to QwikoTripsPro is provided on a subscription basis. Different plans may offer varying features and usage limits.
Payment: You agree to pay all fees associated with your selected subscription plan. Fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.
Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You authorize us to charge your payment method for recurring fees.
Price Changes: We reserve the right to modify pricing with 30 days' advance notice. Continued use after price changes constitutes acceptance of new pricing.
Refunds: Fees are generally non-refundable except as required by law or as specifically stated in these Terms.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Platform for any illegal or unauthorized purpose
- Violate any applicable laws, regulations, or third-party rights
- Attempt to gain unauthorized access to any part of the Platform
- Interfere with or disrupt the Platform's operation or security
- Upload or transmit viruses, malware, or harmful code
- Reverse engineer, decompile, or disassemble the Platform
- Resell, sublicense, or redistribute access to the Platform
- Use the Platform to send spam or unsolicited communications
5. Intellectual Property
Our Rights: The Platform, including all content, features, and functionality, is owned by NativeMind LTD and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.
Your Content: You retain ownership of any data, content, or materials you upload to the Platform ("Your Content"). You grant us a limited license to use, process, and display Your Content solely to provide the Platform services.
Feedback: If you provide suggestions, ideas, or feedback about the Platform, you grant us the right to use such feedback without any obligation to you.
6. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you acknowledge that you have read and understand our Privacy Policy.
7. Service Availability
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:
- Scheduled or emergency maintenance
- Technical issues or system failures
- Force majeure events beyond our control
We will make reasonable efforts to provide advance notice of scheduled maintenance.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVEMIND LTD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless NativeMind LTD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or data uploaded to the Platform
10. Termination
By You: You may terminate your account at any time by contacting us or using the account cancellation feature in the Platform.
By Us: We may suspend or terminate your access to the Platform immediately, without prior notice, if you breach these Terms or engage in any conduct that we deem harmful to the Platform or other users.
Effect of Termination: Upon termination, your right to use the Platform ceases immediately. We may delete your account and associated data in accordance with our data retention policies.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Kigali, Rwanda.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
